用户协议

1、『EarthLive』软件是由 Earthlive 团队（如下简称“我们”或“EarthLive”）推出的一款产品。您访问或使用『EarthLive』APP 客户端、软件、微信服务号及由 EarthLive 提供服务支持的其他第三方运营的平台或服务，表示您已阅读、理解（未成年人应在法定监护人陪同下阅读）本用户协议（以下称“本协议”）的所有条款和内容以及 EarthLive 所包含的各项指引、规则、政策或声明，并同意受其约束。EarthLive 的各项指引、规则、政策和声明是本服务条款的重要组成部分，援引本用户协议也包括对该等文件的援引。同时也请您阅读我们的“隐私政策”“免责声明”和“版权声明”。若您不同意本协议，请勿使用 EarthLive 软件、产品或服务。

2、EarthLive 保留随时自行决定修改、变更、添加或删除本服务条款内容的权利，而毋须事先做出通知。如果您在本服务条款修改后访问或使用“EarthLive”，则表示您同意接受相关的修改。访问和使用“EarthLive”，包括其中的各项特征和内容，受以下条款和条件的约束。在本条款中，“您”或“您的”应包括您自己、您的机构和您在使用 “EarthLive” 时所代表或代理的任何机构。

1、订阅服务：EarthLive 地图会员月卡订阅 (1个月)，EarthLive 地图会员年卡订阅 (12个月)

2、订阅价格：月卡订阅产品为 48元/月，年卡订阅产品为 168元/年

3、付款：用户确认购买并付款后计入iTunes账户

4、苹果 iTunes 账户会在到期前 24 小时内扣费，扣费成功后订阅周期顺延一个订阅周期

5、如果取消订阅，请打开苹果手机 “设置” — 进入 “iTunes Store 与 App Store” — 点击 “App ID” 选择 “查看 Apple ID” ，进入“账户设置”页面，点击“订阅”，选择 EarthLive 取消订阅，如未在订阅期结束的至少 24 小时前关闭订阅，此订阅将会自动续订

EarthLive 服务可能包括收费许可使用的虚拟服务，通常是通过在应用内购买（即“购买内容”）。当您年满 18 岁时，才可以购买被许可的内容，并且只能在有限的，个人的，不可转让的，不可再许可的和可撤销的基础上用于非商业用途。 如果您停用了账户，即便您之后重新激活您的账户或创建新的账户，也无法访问以前购买的内容。EarthLive 保留随时管理、规范、控制、修改或删除购买内容的权利。在向您提供购买的内容后，EarthLive 提供购买的内容的义务被视为已履行，并且 EarthLive 不表示购买的内容将在任何时间段内可供购买者使用，也不表示 EarthLive 服务将继续支持购买的内容 。 根据强制性法律，您确认不要求 EarthLive 出于任何原因对购买的内容提供退款，并且您不会因未使用的购买内容而获得金钱或其他补偿，无论您是否有被许可的使用。

1、用户对以其帐号发生的或通过其帐号发生的一切活动和事件（包括但不限于用户发表的任何内容以及由此产生的任何结果）负全部法律责任。

2、用户在使用 EarthLive 服务时，必须遵守中华人民共和国相关法律法规的规定，并同意不会利用 EarthLive 服务进行任何违法或不正当的活动，用户应严格遵守以下规则：

• 1) 遵守中国法律法规、行政规章以及规范性文件，不得侵犯第三方权利，特别是他人著作权、商标权等知识产权或者合法权利；
• 2) 遵守 EarthLive 的所有用户协议、通知、协议等文件，不得为违法、犯罪等目的使用EarthLive；
• 3) 不得在 EarthLive 网站及移动客户端上传输及发布以下内容：煽动抗拒、破坏宪法及法律法规实施的言论；煽动颠覆国家政权、破坏国家统一的言论；违背社会风俗和社会道德的言论；煽动民族仇恨、民族歧视，破坏民族团结的言论；
• 4) 不得使用任何 EarthLive 侮辱或毁谤、骚扰他人，不得以任何方式危害未成年人；
• 5) 不得散布淫秽、色情、赌博、暴力、凶杀、恐怖、非法宗教或者教唆犯罪的行为；
• 6) 不得利用 EarthLive 从事窃取商业秘密、窃取其他用户个人信息等违法犯罪活动；
• 7) 不得侵入本站及 EarthLive 计算机信息系统，不得传播病毒、特洛依木马、定时炸弹等可能对 EarthLive 系统造成伤害或影响其正常运转的恶意病毒或程序；
• 8) 不得从事非经 EarthLive 同意的所有牟利性经营活动；

3、用户为使用 EarthLive 服务，用户须自行配备上网和使用电信增值业务所需的设备，自行负担因上网或第三方（包括但不限于电信或移动通信提供商）收取的通讯费、信息费等有关费用。如涉及电信增值服务的，我们建议用户与其电信增值服务提供商确认相关的费用问题。

4、用户同意 EarthLive 有权在提供网络服务过程中以各种方式投放各种商业性广告或其他任何类型的商业信息。

1、用户可以通过在 EarthLive 注册帐号使用我们提供的各项服务。EarthLive 帐号（包括名字、昵称、用户名等）的所有权归 EarthLive，用户完成申请注册手续后，获得 EarthLive 帐号的使用权，但仅限为个人而非商业目的使用。

2、用户自行保管其帐号和密码。用户帐号、密码使用权仅属于初始申请注册人，禁止赠与、借用、租用、转让或者售卖。

3、用户应提供完整、真实、准确和最新的个人资料，该资料对于使用 EarthLive 的服务以及找回丢失的 EarthLive 帐号和密码至关重要。如因注册信息不真实而引起的问题由用户本人承担，EarthLive 不负任何责任并有权暂停或终止用户的帐号。

4、用户帐号和密码遭到他人非法使用或发生其他任何安全问题，用户应当立即通过本协议末联系方式通知我们。因黑客行为或用户的过错导致帐号、密码被他人非法使用，EarthLive 不承担任何责任。

5、EarthLive 将建立健全用户信息安全管理制度，按照 EarthLive 隐私保护政策保障用户信息安全。

1、EarthLive 服务中包含的任何文字、图表、音频、视频或软件（包括但不限于软件中包含的图表、动画、音频、视频、界面实际、数据和程序、代码、文档）等信息或材料均受著作权法、商标法或其它法律法规的保护，未经相关权利人书面同意，上述资料均不得在任何媒体直接或间接发布、播放、出于播放或发布目的而改写或再发行，或者被用于其他任何商业目的。所有这些资料或资料的任何部分仅可出于中华人民共和国法律允许的用途而保存在某台计算机或其他上网设备内。EarthLive 不就由上述资料产生或在传送或递交全部或部分上述资料过程中产生的延误、不准确、错误和遗漏或从中产生或由此产生的任何损害赔偿，以任何形式，向用户或任何第三方负责。

2、本协议未授予用户使用 EarthLive 任何商标、服务标记、标识、域名和其他显著品牌特征的权利。我们或我们的合作第三方如果尚未将“EarthLive”相关图形及文字注册为注册商标的，用户不得擅自将其注册成为注册商标；若用户申请注册或已经将其注册为注册商标的，则用户应当配合公司或其合作的第三方向商标主管登记机关申请撤回该注册商标申请或申请撤销该注册商标，或用户应当将该注册商标无偿地、完全地、不可撤销地转让给公司或其合作的第三方。

3、除本协议明确允许的以外，用户不得以任何形式或任何方式对 EarthLive 服务部分或全部内容进行修改、出租、租赁、出借、出售、分发、复制、创作衍生品或用于任何商业用途。

4、对于用户通过 EarthLive 和本网络服务（包括但不限于个人信息、个性签名等）上传到 EarthLive 上可公开获取区域的任何内容，用户同意 EarthLive 在全世界范围内具有免费的、永久性的、不可撤销的、非独家的和完全再许可的权利和许可，以使用、复制、修改、改编、出版、翻译、据以创作衍生作品、传播、表演和展示此等内容（整体或部分），和/或将此等内容编入当前已知或以后开发的其他任何形式的作品、媒体或技术中。

5、用户在 EarthLive 上发布的信息不得侵犯任何第三人的知识产权，未经相关权利人之事先书面同意，用户不得以任何方式上传、发布、修改、传播或复制任何受著作权保护的材料、商标或属于其他人的专有信息。

6、EarthLive 对网络知识产权保护尽合理、审慎的义务，在有理由确信用户存在明显侵犯任何第三方知识产权的情形，或者接收到其他第三方关于知识产权的权利主张或投诉时，公司有权不事先通知并随时对该涉嫌侵权的内容采取删除、屏蔽或断开等措施，且无需承担任何责任。若被采取删除、屏蔽或断开等措施的用户认为其行为或内容没有侵犯任何第三方的知识产权，可以向 EarthLive 主张要求恢复其内容或行为，但应当向 EarthLive 提供详细的情况说明和足够的证明文件。我们将根据实际情况判断是否恢复，但即使我们最终决定恢复相关的内容或行为，也仍然不对此前采取的措施承担任何责任。

7、本软件（包括但不限于软件中所含的任何图象、照片、动画、录像、录音、音乐、文字和附加程序、随附的帮助材料、版面框架、界面设计等）的一切权利均属于 EarthLive，未经事先书面许可，用户不得对本软件进行反向工程、反向编译或反汇编。

8、除法律规定外，未经 EarthLive 书面形式的明确许可，任何单位或个人不得以任何方式全部或部分复制、转载、引用、链接、抓取或以其他方式使用 EarthLive 的信息内容。

1、本协议项下的服务行为涉及到互联网及移动通讯等服务，可能受各个环节不稳定因素的影响，比如不可抗力、计算机病毒或者黑客攻击等造成的服务中断或不能满足用户要求的风险，用户须理解和认可，并承担以上风险。基于上述已经提及的可能发生的各环节不稳定因素影响，EarthLive 在此声明对服务的及时性、安全性、准确性不作担保，对因此导致用户不能接收信息，或者传递错误等问题不承担任何责任，且不担保本软件或本网络服务一定能满足用户的要求。

2、如因 EarthLive 系统发生故障而影响到本服务的正常运行，EarthLive 承诺第一时间内与相关单位配合，及时处理并进行修复。但用户因此而产生的经济损失，EarthLive 不承担责任。此外，EarthLive 保留不经事先通知为维修保养、升级或其他目的随时变更、中断或终止部分或全部本服务的权利，而无论同意与否，EarthLive 对用户和任何第三人均无需承担任何责任。

3、用户可通过 EarthLive 有关网络服务获得第三方的某些内容，或者 EarthLive 可能为方便用户而提供通往第三方网站的链接，但 EarthLive 不负责检查或评估任何该等第三方材料、产品、服务或网站内容的准确性，并且，EarthLive 对此不作保证、不承担任何责任、也不负有任何义务。用户对此自行加以判断，并承担因使用该等内容而引起的所有风险，包括但不限于因对内容的正确性、完整性或实用性的依赖而产生的风险。

4、本软件和/或本网络服务所展现的页面上可能存在其他网页或广告等的链接，EarthLive 对其他任何网站的内容、隐私政策、运营或经营这些网站的第三方的行为无法控制且概不负责。用户经由EarthLive 服务与广告商进行通讯联系或商业往来或参与促销活动，完全属于用户与广告商之间的行为，与 EarthLive 没有任何关系，若因商业行为所产生之任何损害或损失，EarthLive 不承担任何责任。在点击这些网站提供的链接之前，请用户慎重考虑，保护自身的权益及安全。

5、用户明确同意其使用 EarthLive 服务所存在的风险及其后果将完全由其自己承担，EarthLive 对用户不承担任何责任。如因用户违反有关法律、法规或本协议项下的任何条款而给 EarthLive 或任何其他第三人造成损失，用户同意承担由此造成的损害赔偿责任。

6、就下列相关事宜的发生，EarthLive 在此声明不承担任何法律责任：

• 1) 用户应遵守国家的有关法律、法规和行政规章制度。如有用户违反国家法律法规或本用户协议，EarthLive 有权停止向用户提供任务而不需要承担任何责任；如用户的不法使用行为导致 EarthLive遭受任何损害或者遭受任何来自第三方的纠纷、诉讼、索赔要求等，用户须向 EarthLive 赔偿相应的损失，用户需对其违反用户协议所产生的一切后果承担全部法律责任；
• 2) 由于您将用户帐号告知他人或与他人共享注册帐户，由此导致的任何个人信息的泄露，或其他非因 EarthLive 方面原因导致的个人信息的泄露；
• 3) 根据法律规定或政府相关政策要求提供您的个人信息；
• 4) 任何通过黑客攻击、电脑病毒侵入等非法截取、访问等方式从我们网站上获取的信息；
• 5) 以及因台风、地震、海啸、洪水、停电、战争、恐怖袭击等国际通用不可抗力因素导致的任何后果。
• 6) 因 EarthLive 向用户提供的免费服务本身及其引发的任何损失及或风险。
• 7) 其他因网络信息或用户行为引起的风险。

1、本协议的版权及本协议下的服务之所有权、运作权和一切解释权归我们所有。我们有权在必要时修改并更新用户协议，并通过网站或者移动客户端发布修改变更消息，且不再另行通知。如果在修改更新生效后用户继续使用服务，则视为您接受用户协议的变动并遵守最新用户协议。

2、本协议的订立、执行和争议的解决均应适用中华人民共和国法律。如双方就本协议内容或其执行发生任何争议，双方应尽量友好协商解决；协商不成时，任何一方均可向我们所在地有管辖权的人民法院提起诉讼。

3、我们未行使本协议的任何权利或规定，不构成对前述权利之放弃。

4、如本协议中的任何条款完全或部分无效，本协议的其余条款仍有效并且有约束力。

User Agreement

1. The EarthLive Software is a product launched by the Earthlive team (hereinafter referred to as "we" or "EarthLive"). By accessing or using the EarthLive APP client, software, WeChat service number and other platforms or services operated by third parties supported by EarthLive, you represent that you have read and understood (minors should be accompanied by their legal guardians) all the terms and contents of this User Agreement (hereinafter referred to as the "Agreement") and the terms and conditions of EarthLive. You acknowledge that you have read, understood (minors should be accompanied by a legal guardian) and agree to be bound by all of the terms and conditions of this User Agreement ("this Agreement") and the guidelines, rules, policies or statements contained in EarthLive, which are an integral part of these Terms of Service, and that references to this User Agreement include references to such documents. 2. EarthLive reserves the right, in its sole discretion, to modify, alter, add, or remove portions of the TOS at any time without prior notice. If you access or use "EarthLive" after the modification of the TOS, you agree to accept the relevant modification. Access to and use of EarthLive, including its features and content, is subject to the following terms and conditions. As used herein, "you" or "your" shall include yourself, your organization, and any organization you represent or act on behalf of when using EarthLive.

1. Subscription service: Monthly subscription for EarthLive Maps Membership (1 month), Annual subscription for EarthLive Maps Membership (12 months)

2. Subscription price: Monthly subscription is 6.99 USD/month, annual subscription is 24.99 USD/year.

3. Payment: User's iTunes account will be credited after confirmation of purchase and payment.

4. Apple iTunes account will be charged within 24 hours before the expiration date, and the subscription cycle will be postponed for one subscription cycle after successful charging.

5. If you want to cancel the subscription, please open the "Settings" of your Apple phone - go to "iTunes Store and App Store" - click "App ID" and select "App ID". The EarthLive Services may include virtual services that are licensed for a fee, usually through in-app purchases ("Purchased Content"). Licensed Content may be purchased when you are 18 years of age or older and may only be used on a limited, personal, non-transferable, non-sub-licensable and revocable basis for non-commercial purposes. If you deactivate your account, you will not be able to access previously purchased content, even if you later reactivate your account or create a new one. earthLive reserves the right to manage, regulate, control, modify, or remove purchased content at any time. EarthLive's obligation to make the Purchased Content available is deemed to be fulfilled when the Purchased Content is made available to you, and EarthLive makes no representation that the Purchased Content will be available to the purchaser for any period of time or that the EarthLive Service will continue to support the Purchased Content. In accordance with mandatory law, you acknowledge that EarthLive is not required to provide refunds for Purchased Content for any reason, and that you will not receive monetary or other compensation for unused Purchased Content, regardless of whether or not you have a license to use it.

1、Users are fully legally responsible for all activities and events occurring under or through their accounts (including but not limited to any content published by users and any results thereof).

2、Users must comply with the relevant laws and regulations of the People's Republic of China when using EarthLive services, and agree that they will not utilize EarthLive services to conduct any illegal or improper activities, and users should strictly abide by the following rules:

• 1) Comply with Chinese laws, regulations, administrative rules and normative documents, and shall not violate the rights of third parties, especially the intellectual property rights such as others' copyrights and trademarks or legal rights;
• 2) Comply with all user agreements, notices, protocols and other documents of EarthLive, and shall not use EarthLive for illegal, criminal and other purposes;
• 3) Not to transmit and publish the following contents on EarthLive website and mobile client: statements inciting to resist or undermine the implementation of the Constitution, laws and regulations; statements inciting to subvert state power or undermine national unity; statements contrary to social customs and social morals; statements inciting ethnic hatred, ethnic discrimination, and undermining national unity;
• 4) Not to use any EarthLive to insult or defame or harass others, and not to endanger minors in any way;
• 5) Shall not spread obscenity, pornography, gambling, violence, murder, terrorism, illegal religion or abetting crimes;
• 6) Not to use EarthLive to engage in theft of trade secrets, theft of other users' personal information and other criminal activities;
• 7) Not to intrude into the site and EarthLive's computer information system, not to spread viruses, Trojan horses, time bombs and other malicious viruses or programs that may cause harm to EarthLive's system or affect its normal operation;
• 8) Shall not engage in all profit-making business activities that are not agreed by EarthLive;

3. In order to use EarthLive services, users must equip themselves with the necessary equipment for Internet access and the use of value-added telecommunication services, and bear on their own the communication fees, information fees and other related fees charged by Internet access or by a third party (including, but not limited to, telecommunication or mobile telecommunication providers). If it involves value-added telecommunication services, we suggest users to confirm the relevant fees with their value-added telecommunication service providers.

4. Users agree that EarthLive has the right to place all kinds of commercial advertisements or any other types of commercial information in various ways in the process of providing network services.

1. Users can use the services provided by EarthLive by registering an account with EarthLive, the ownership of EarthLive account (including name, nickname, user name, etc.) belongs to EarthLive, and users will get the right to use the account of EarthLive after completing the registration procedures, but only for personal and non-commercial purposes.

2. Users shall keep their accounts and passwords in their own custody. The right to use the user account and password belongs only to the person who initially applies for registration, and it is prohibited to give, borrow, rent, transfer or sell them.

3. Users should provide complete, true, accurate and up-to-date personal information, which is essential for the use of EarthLive's services and the recovery of lost EarthLive account and password. If the problems caused by untrue registration information are borne by the user himself, EarthLive will not be responsible and has the right to suspend or terminate the user's account.

4. If the user's account and password are illegally used by others or any other security problem occurs, the user should immediately notify us through the contact information at the end of this agreement. Due to hacking or the user's fault caused by the account, password was illegally used by others, EarthLive does not bear any responsibility.

5. EarthLive will establish and improve the user information security management system, in accordance with EarthLive privacy protection policy to protect user information security.

2. This Agreement does not grant User the right to use any of EarthLive's trademarks, service marks, logos, domain names and other distinctive brand features. If we or our cooperative third parties have not yet registered the graphics and words related to "EarthLive" as a registered trademark, the user shall not register it as a registered trademark without authorization; if the user applies for registration or has already registered it as a registered trademark, the user shall cooperate with the company or its cooperative third party to apply for withdrawal of the registered trademark application to the competent trademark registration authority. If the user applies for registration or has registered it as a registered trademark, the user shall cooperate with the company or the third party with which the company cooperates to apply to the competent trademark registration authority for withdrawal of the application for registration of the registered trademark or application for revocation of the registered trademark, or the user shall transfer the registered trademark to the company or the third party with which the company cooperates gratuitously, completely and irrevocably.

3. Except as expressly permitted in this Agreement, the User shall not modify, rent, lease, loan, sell, distribute, reproduce, create derivatives of, or use for any commercial purpose, in any form or by any means, any part or all of the contents of the EarthLive Services.

4. User agrees that EarthLive has a worldwide, free, perpetual, irrevocable, non-exclusive, and fully sublicensable right and license to use, reproduce, modify, adapt, publish, translate, publish, and distribute any and all Content uploaded to the publicly accessible areas of the EarthLive through EarthLive and the Web Services (including, but not limited to, personal information, personalized signatures, etc.), to use, reproduce, modify, adapt, publish, translate, and distribute the Content for commercial purposes. the User agrees that EarthLive has a worldwide, royalty-free, perpetual, irrevocable, non-exclusive and fully sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works based on, distribute, perform and display such content (in whole or in part), and/or to incorporate such content into any other form of work, media, or technology now known or hereafter developed.

6. EarthLive shall exercise reasonable and prudent obligations for the protection of intellectual property rights on the network. When it has reason to believe that the user has obviously infringed on the intellectual property rights of any third party, or when it receives claims or complaints about intellectual property rights from other third parties, the company has the right to remove, block or disconnect the allegedly infringing content at any time without any prior notice and without any responsibility. If the user who has been removed, blocked or disconnected believes that his/her behavior or content does not infringe the intellectual property rights of any third party, he/she can claim to EarthLive to restore his/her content or behavior, but he/she should provide EarthLive with a detailed description of the situation and sufficient supporting documents. We will judge whether to restore it according to the actual situation, but even if we finally decide to restore the relevant content or behavior, we still do not assume any responsibility for the measures taken previously.

7. All rights to the Software (including, but not limited to, any images, photographs, animations, videos, sound recordings, music, text and additional programs contained in the Software, accompanying help materials, layout frameworks, interface design, etc.) belong to EarthLive, and the user is not allowed to reverse engineer, decompile, or disassemble the Software without prior written permission.

8. Except for legal provisions, without the express permission of EarthLive in written form, any unit or individual shall not in any way, in whole or in part, reproduce, reprint, cite, link, crawl or otherwise use the information content of EarthLive.
